Welcome to Majority Payment Services (“MPS”).
Before presenting our terms and conditions, it is important to alert you to potential fraud risk you could face and ways you can reduce any risk:
CONSUMER FRAUD ALERT: PROTECT YOURSELF AND AVOID EMAIL PHISHING. BE CAREFUL WHEN AN UNKNOWN PERSON OR STRANGER ASKS YOU TO SEND MONEY, ESPECIALLY FROM UNSOLICITED EMAILS OR INDIVIDUALS YOU DO NOT KNOW. YOU SHOULD ONLY SEND MONEY TO PEOPLE THAT YOU KNOW PERSONALLY AND YOU SHOULD BE CAUTIOUS OF DEALS OR OFFERS THAT SEEM TOO GOOD TO BE TRUE.
We advise that you do not share your username and password with others. Notify us immediately at [email protected] if you believe your Majority Account, including your username and password, have been compromised, lost or stolen or if someone may have used them without your permission.
Definitions for capitalized terms used in this Agreement are provided under the “Definitions” heading below and in this Agreement. Capitalized terms not defined in this document have the same definition as in the Majority Terms of Service.
Terms and Conditions
These Majority Payment Services Money Service Customer Terms (“Agreement”) govern your use of the MPS Money Transfer Service to make International Money Transfers. This Agreement supplements and is a part of the Majority Terms of Service. If there is a conflict between any provision in this Agreement and any provision of the Majority Terms of Service, the provisions in this Agreement will control to the extent of the conflict. By signing up, accessing or using the MPS Money Transfer Service, you accept and agree to the terms and conditions in the Majority Terms of Service and this Agreement. If you do not agree to the terms and conditions of this Agreement, do not sign up for, access or use the Transfer Service.
This Agreement is between you and MPS and applies to any International Money Transfer that you request through the MPS Money Transfer Service. MPS is only responsible for processing International Money Transfers you request and authorize through the MPS Money Transfer Service.
Definitions
“Agreement” is defined in the Terms and Conditions section above.
“App” means the Majority mobile application offered by Majority USA, LLC.
“Beneficiary” refers to the person that you designate to receive the funds from the International Money Transfer.
“Beneficiary Bank Account” means the bank account that receives International Money Transfers sent to a Beneficiary.
“Business Day” means any day that is not a Saturday, Sunday or legal holiday.
“International Money Transfer” means the transfer of funds to a Beneficiary that you request and authorize through the MPS Money Transfer Service.
“Losses” is defined in Section 12(D).
“Majority Account” refers to your Majority USA, LLC platform account.
“MPS,” “we,” “us,” and “our” refer to Majority Payment Services LLC (NMLS ID: 1991596).
“MPS Money Transfer Service” or the “Transfer Service” means the MPS service that allows you to request the delivery of an International Money Transfer to the Beneficiary you designate, in the country where the Beneficiary is located.
“You” and “your” refer to the person who accepts and agrees to the terms and conditions of this Agreement.
1. Are there restrictions on who can use the Transfer Service?
To use the Transfer Service you must be at least 18 years old and physically present in the United States. You also need to open and maintain a Majority Account in good standing and have enough funds available in your Majority Account to fund any International Transfers authorized through the Transfer Service.
2. How does the Transfer Service work?
If you wish to authorize International Money Transfers through the Transfer Service, you must first use the App to designate a Beneficiary in another country and provide information about the Beneficiary Bank Account.
Once you have designated a Beneficiary, you may request an International Money Transfer to that person through the App. We will inform you of the status of your request in the App including if your order has been received. Please note that this notification does not mean that your order is accepted.
We will notify you when your International Money Transfer is accepted by us and again when the International Money Transfer has been received by the Beneficiary. We do not notify the Beneficiary that money has been deposited in the Beneficiary Bank Account. We reserve the right to establish identification and verification requirements for a Beneficiary to receive an International Money Transfer. We may rely, without further investigation, on identification information or documentation you or a Beneficiary provide, including any code or identification number of the International Money Transfer, when making an International Money Transfer to the Beneficiary. You agree and acknowledge that we have the right to decline to deliver the International Money Transfer to the Beneficiary if we cannot verify the Beneficiary’s identity or if we determine in our sole discretion that delivering the International Money Transfer to the Beneficiary presents a high risk or violates applicable law. Although we have the right to establish identification and verification requirements, we are not required to do so. If the Beneficiary fails to comply with our verification requirements we may decline to deliver the International Money Transfer. If a Beneficiary cannot be located and identified, the International Money Transfer funds will be canceled or returned to you by a credit to your Majority Account.
If we receive your International Money Transfer request on a day that is not a Business Day or on a Business Day after our cut-off time for processing, we will process your International Money Transfer request on the next Business Day. The applicable cut-off time may vary from time to time.
Your use of the Transfer Service does not establish a bank account for you or the Beneficiary with MPS or any of its distribution agents. MPS is not an escrow agent, and the Transfer Service does not constitute or create a fiduciary relationship between you and MPS. Funds held while processing an International Money Transfer request are not insured by the Federal Deposit Insurance Corporation or any other government authority.
3. Are There any Fees When Using the Transfer Service?
The fee, if any, for an International Transfer will be disclosed to you in the App prior to your authorization of the International Transfer. Any transfer fee will be charged directly to your Majority Account. If we charge a transfer fee for an International Money Transfer, you must have enough funds in your Majority Account to cover both the transfer fee and the requested International Money Transfer amount. Transfer fees are subject to change and may be imposed on any International Money Transfer, in our sole discretion.
The actual amount of funds that the Beneficiary will receive will be disclosed to you in the App prior to your authorization of the International Transfer. The amount the Beneficiary receives may reflect charges we, other intermediary banks and/or our designated service providers impose for converting the U.S. dollar payment to the local currency, including a service fee for currency conversion that the local bank in the destination country or the bank of the Beneficiary may charge. The fees for this currency conversion may vary.
4. In what currencies are International Money Transfers made?
International Money Transfers to Beneficiaries are made in the currency of the country where the Beneficiary is located. We and our designated service providers will convert a U.S. dollar International Money Transfer to the local currency at the exchange rate for an International Money Transfer in effect at the time the International Money Transfer is placed in the system. If permitted by applicable law and the Transfer Service, an International Money Transfer may be made in U.S. dollars.
5. Can I reverse an International Money Transfer and get a refund?
You have a right to cancel an International Money Transfer within 30 minutes of when we authorize the International Money Transfer, unless the funds have been received by the Beneficiary. In some cases, the Beneficiary is paid promptly upon processing your International Money Transfer, in which case cancellation of that International Money Transfer and/or a refund of a previously requested International Money Transfer is not possible, and we will not be able to honor such a request. If, for some unforeseen reason, the Beneficiary has not been paid, you can contact us at [email protected] or call (855)-553-3388 and cancel for a full refund within 30 minutes of when we authorize the International Money Transfer if the Beneficiary has not received the International Money Transfer. In this case, we will issue a refund within three Business Days of your request. We will also provide a refund that you request after this 30-minute period if we verify that the Beneficiary did not receive the International Money Transfer.
We are not liable to you for any loss resulting from our inability to cancel or refund an International Money Transfer if the funds are received by the Beneficiary prior to you making a cancellation request or the cancellation request is made after 30 minutes of when we authorize the International Money Transfer. If we decide to refund International Money Transfer funds to you, we will do so by a credit to your Majority Account.
6. Can MPS reject my International Money Transfer request?
We have the right to reject your request for an International Money Transfer, decline to complete a request for an International Money Transfer once it has been initiated or impose a dollar limit on your International Money Transfer, without cause or prior notice to you. MPS may suspend, delay or reject your International Money Transfer request for the following reasons:

7. Are there restrictions on how I may use the Transfer Service?
You may not resell the MPS Money Transfer Service, or use the Transfer Service to make International Money Transfers on behalf of, or as agent for, another person. The Transfer Services is only offered in the United States in the jurisdictions where MPS is licensed.
You may only use the Transfer Service to send money to Beneficiaries for personal reasons. If we suspect or discover you are using the Transfer Service to make International Money Transfers to or on behalf of another person, a business or other entity, we may, in our sole discretion, cancel your International Money Transfer(s) and not allow you to make any further International Money Transfers. You acknowledge that MPS is not liable for your use of the Transfer Service for commercial purposes, including all risks associated with the purchase of goods or payment for services of any kind, such as losses you suffer for undelivered or defective goods and services you pay for using the Transfer Service.
The Transfer Service may not be available in whole or in part in different countries as determined by applicable foreign laws. We may also determine that providing the Transfer Service in a particular country presents too many risks to us, our users or our systems. In the United States, we only offer the Transfer Service in the jurisdictions where we are licensed or that currently do not require us to be licensed to provide the Transfer Service.
You may execute up to a maximum dollar amount per International Money Transfer and/or a maximum number of International Money Transfers using the Transfer Service. In addition, you may execute up to a certain maximum dollar amount in total for International Money Transfers over a specified period of time using the Transfer Service. We may change the maximum dollar amount at any time and in our sole discretion. MPS’s service providers also may limit the maximum dollar amount of an International Money Transfer, or reject a proposed International Money Transfer, in their sole discretion. We also may refuse to send the International Money Transfer if we believe that by doing so we might break any applicable law or other duty that applies to us, that doing so may expose us to action from any government or regulator or that the International Money Transfer may be linked with fraudulent or illegal activity.
The MPS Money Transfer Service is not intended for use by any person in any jurisdiction or country where such use would be contrary to applicable law. You agree that you will only request an International Money Transfer that complies with this Agreement, applicable United States federal and state law, and applicable law in the country of the Beneficiary.
You agree that you will not request an International Money Transfer that would violate applicable law, including the economic sanctions administered by the U.S. Treasury Department Office of Foreign Assets Control and the U.S. anti-money laundering laws. You agree that you will provide MPS with true and accurate information regarding your identity or the identity of the Beneficiary. MPS may provide information regarding you, the Beneficiary and your use of the MPS Money Transfer Service to government authorities.
8. What are my other responsibilities?
You agree to promptly update your Majority Account records if your email address or other contact information changes. Each time you access the MPS Money Transfer Service, you are confirming that all account information is accurate and complete.
If a charge to your Majority Account is subsequently returned, charged back or canceled for any reason, and we have already processed your International Money Transfer request, you will be responsible to MPS for the amount of the International Money Transfer. You agree to pay us the International Money Transfer amount plus any applicable service fee or non-sufficient funds fee related to the return. You also authorize us to debit your Majority Account for any of the amounts discussed in this paragraph.
9. What happens if I provide incorrect information?
We rely on the information you submit to make an International Money Transfer. You represent and warrant to us that all information you enter regarding an International Money Transfer is true and complete. You acknowledge that any errors in the information, including misidentification of any Beneficiary, an incorrect or misspelled name, an incorrect or misspelled address, the wrong bank or bank account or any other misinformation, are your responsibility and that we will have no liability for executing an International Money Transfer based on the inaccurate or incomplete information you provided or entered. If you provide incorrect information about a Beneficiary's Account, you may lose the amount of any transfer sent to that account.
If we are unable to complete disbursement of the International Money Transfer to the Beneficiary because you provided incorrect information about the Beneficiary, you will be liable for any costs, fees, expenses and losses that we incur in returning the International Money Transfer to you, such as processing costs, losses arising due to exchange rate fluctuations, service charges and exchange commissions.
10. Can this Agreement change?
MPS may in its sole discretion modify this Agreement from time to time without any prior notice to you. Unless otherwise specified by MPS, all modifications take effect automatically and will become part of this Agreement and be binding on you beginning on the day they are posted on the Website or the App. By continuing to access or use the MPS Money Transfer Service, you will be deemed to have agreed to accept and be bound by any modifications to this Agreement.
11. What is your error resolution policy?
If you believe there to be an error in connection with an International Money Transfer, then you should notify us at [email protected] or (855) 553-3388 as soon as possible, but no later than 180 days of the date we disclosed to you that a transaction has been completed. When you do, please tell us as much of the following information as possible:
• your name and address;
• the error or problem with the transaction (as applicable), and why you believe it is an error or problem;
• the name of any recipient, and if you know it, telephone number or address;
• the dollar amount of the transaction; and
• any transaction number.
We may request additional information in order to verify your identity and the transaction at issue. MPS will determine whether an error occurred and will reply to you within 90 days. If MPS was at fault, you will be entitled to a full refund or to have the International Money Transfer resent free of charge. If no error occurred or MPS was not at fault, you will receive a written notice including the information that MPS relied on to make that determination.
12. Other Matters
A. Delays or Non-Execution of International Money Transfer Request
You agree that we are not responsible for any delay, failure to execute, or an error in the execution of your International Money Transfer request due to circumstances beyond our reasonable control, whether caused by strikes, power failures, equipment malfunctions, acts or omissions of any intermediary bank, war, riots, governmental or court orders, work stoppages or similar occurrences or circumstances. You further agree that we may refuse to process or delay processing any request if it would violate any guideline, rule, policy or regulation of any government authority or funds transfer system.
B. No Warranty
THE MPS MONEY TRANSFER SERVICE IS PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT TO THE MPS MONEY TRANSFER SERVICE. WE DO NOT WARRANT THE FUNCTIONALITY OF THE MPS MONEY TRANSFER SERVICE, OR THE ACCURACY, ADEQUACY OR COMPLETENESS OF ANY RELATED INFORMATION AND EXPRESSLY DISCLAIM LIABILITY FOR NON-FUNCTIONALITY OF THE MPS MONEY TRANSFER SERVICE, OR ERRORS OR OMISSIONS OF THE MPS MONEY TRANSFER SERVICE OR ANY RELATED INFORMATION. NO WARRANTY OF ANY KIND, IMPLIED, EXPRESSED OR STATUTORY, INCLUDING THE WARRANTIES OF NONINFRINGEMENT OF THIRD PARTY RIGHTS, TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND FREEDOM FROM COMPUTER VIRUS, IS GIVEN IN CONJUNCTION WITH THE MPS MONEY TRANSFER SERVICE.
C. Limitation of Liability
Our liability is limited to, and can never exceed, $1,000.00 plus the amount of the International Money Transfer, the amount of the disputed transactions (and applicable MPS fees and charges, irrespective of the circumstances or the reasons for your loss. You may also be entitled your attorneys’ fees and costs in any dispute you may pursue against us. OTHER THAN THE AFOREMENTIONED LIMITATION OF LIABILITY, IN NO EVENT WILL WE BE RESPONSIBLE FOR ANY PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXPENSES ARISING IN CONNECTION WITH AN INTERNATIONAL MONEY TRANSFER OR THE MPS MONEY TRANSFER SERVICE EVEN IF WE OR OUR REPRESENTATIVES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES.
The foregoing will constitute your exclusive remedy under or in connection with this Agreement and the MPS Money Transfer Service. You agree that the foregoing limitation is a reasonable limitation on your remedy under the circumstances of this Agreement and the MPS Money Transfer Service.

E. Surviving Terms
Sections 6, 7, 8, 9, 12(B), 12(C), 12(E), 12(G), and 12(H) of this Agreement will survive this Agreement’s termination.
F. Termination of Account and Suspension of Service
You acknowledge and agree that you must remain a Majority customer and have a Majority Account that is in good standing to receive the Transfer Service. The closure of your Majority Account and/or termination of the Majority Terms of Service (or the suspension of the Majority services) also has the immediate effect of terminating this Agreement.
We may, without notice (except as required by applicable law), terminate or suspend your access to the MPS Money Transfer Service at any time, including if:
If your Majority Account is closed for any reason, we may, in our sole discretion, cancel any pending International Money Transfer request(s).
G. Governing Law
This Agreement will be governed by U.S. federal law and, where not in conflict with or preempted by such federal law, the laws of the state of Delaware, as applicable, without regard to conflict of law principles.
H. Use of Information
We may use and disclose to third parties (including to our designated service providers) your account information and/or International Money Transfer information in order to process a requested International Money Transfer, to validate your identity, to validate your account information, to resolve a dispute, to enforce our rights and for any other purposes not prohibited by applicable law. You consent to our collection, transfer and storage of your personal information by computers or other transfer or storage devices in the United States and elsewhere. J. Security
We take security very seriously at MPS. We advise you to consider very carefully before sending money to anyone that you do not know well. In particular, you should be very cautious of deals or offers that seem too good to be true - they may be scams. If you are aware of any person that is using the Transfer Service inappropriately, please email us at [email protected]. Similarly, if you receive any emails purporting to be from MPS that you suspect may be “phishing” (fake) emails, please forward them to us at [email protected].
